About the role
EROAD is seeking an experienced Senior Governance Counsel to join its legal team, providing senior legal, governance and company secretarial support across the EROAD Group.
You will play a key role supporting the Board and Board Committees, maintaining EROAD’s governance framework and advising on corporate and securities law, continuous disclosure, listed-company compliance and enterprise risk. You will work closely with the General Counsel, Executive Leadership Team and Board, acting as a trusted adviser on strategic governance, regulatory and corporate matters.
The role also offers broader legal exposure across commercial contracts, strategic projects, procurement, privacy, IP and legal risk. With significant senior stakeholder interaction and functional leadership responsibilities, this is an influential position for a lawyer who enjoys operating at the intersection of law, governance and business strategy.
What we’re looking for
· An experienced lawyer, ideally 8+ years’ PQE, ideally gained in a senior in-house role or at Senior Associate level or above within corporate/capital markets. With a current New Zealand practising certificate, or eligibility to obtain one.
· Strong corporate governance and securities law experience, ideally involving an NZX or ASX listed organisation
· Sound knowledge of the Financial Markets Conduct Act, Companies Act and NZX Listing Rules
· Experience with Board and Committee processes, continuous disclosure and capital markets transactions
· Exceptional drafting skills and the ability to communicate complex matters clearly
· Confidence advising Boards, executives and other senior stakeholders
· Strong commercial judgement with a pragmatic and risk-based approach
· A proactive, highly organised style and the ability to operate effectively in a fast-moving environment
· An interest in AI and emerging legal technology; experience developing AI agents for legal use would be highly regarded
